1. Acceptance of Terms

By accessing or using HireNirnay ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and HireNirnay Pvt. Ltd., registered in Hyderabad, Telangana, India (CIN: U00000TG2024PTC000000). You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

These Terms are governed by the laws of India, and the courts of Hyderabad shall have exclusive jurisdiction, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

2. Description of Service

HireNirnay is an AI-powered recruitment platform that helps recruiters match candidate resumes with job descriptions. Our service includes:

• AI-powered resume-to-job description matching
• Batch processing of multiple resumes
• Match scoring and analytics
• CSV export functionality
• Dashboard with usage statistics

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.

3. User Accounts

3.1 Registration

To use the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. You agree to:

• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Use a strong, unique password
• Not share your account credentials with others

3.3 Account Verification

Email verification is required to activate your account. You must verify your email address within the time period specified in the verification email.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Upload false, misleading, or fraudulent information
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to the Service or other accounts
• Use automated systems (bots, scrapers) without permission
• Resell or redistribute the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit spam or unsolicited communications

We reserve the right to suspend or terminate accounts that violate these terms.

5. Payments and Credits

5.1 Freemium Plan

The freemium plan includes 10 free credits on signup.

5.2 Premium Credits

Premium credits can be purchased in packs. All prices are in Indian Rupees (₹) and are subject to change. Credits never expire and can be shared across team members within the same organisation account.

5.3 Taxes & Currency

Prices displayed on our website exclude GST. Applicable GST is calculated at checkout and itemised in the PayU invoice. International customers are billed in INR; your issuing bank or payment provider will convert the amount to your local currency. For USD/EUR invoicing or PO-based billing, contact billing@hirenirnay.com.

5.4 Payment Processing

Payments are processed through PayU. We do not store card numbers or UPI credentials. Transactions may be declined or held for manual review if we detect suspicious activity, mismatched GST details, or exceeded credit limits. By purchasing credits you also agree to PayU's terms.

5.5 Refunds

Unused credits may be refunded within 7 days of purchase, subject to our Refund Policy. Approved refunds are returned to the original payment method within 5-7 business days.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by HireNirnay and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of content you upload (resumes, job descriptions). By uploading content, you grant us a license to:

• Process and analyze your content using AI models
• Store your content temporarily for processing
• Generate match results and analytics

You may not copy, modify, distribute, sell, or lease any part of our Service without written permission.

7. Limitation of Liability

7.1 AI Results Disclaimer

AI matching results are probabilistic and advisory in nature. Match scores should be used as tools to assist in candidate prioritization, not as definitive hiring decisions. You are solely responsible for final hiring decisions.

7.2 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. The Service may be unavailable due to maintenance, technical issues, or circumstances beyond our control.

7.3 Limitation of Liability

To the maximum extent permitted by law, HireNirnay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of the Service.

7.4 Maximum Liability

Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim, or ₹1,000, whichever is greater.

8. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination:

• Your right to use the Service will cease immediately
• All data associated with your account may be deleted after the retention period
• Unused premium credits may be refunded per our Refund Policy

You may terminate your account at any time by contacting support or deleting your account through the platform.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
